Agreement to These Terms
Welcome to stofftcooneyarchitecture.com (the “Site”). The Site is operated jointly by Stofft Cooney Architects [FULL LEGAL ENTITY NAME] and Stofft Architectural Group [FULL LEGAL ENTITY NAME] (each a “Firm,” and together the “Firms,” “we,” “us,” or “our”). The Firms are separate legal entities under common ownership that share this Site.
By accessing or using the Site, you agree to be bound by these Terms and Conditions (“Terms”) and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site.
Every protection, disclaimer, limitation, and reservation of rights in these Terms applies to each Firm individually and to both Firms collectively, and each Firm may enforce these Terms in its own name.
Informational Purpose Only
The Site is a portfolio and informational resource. Nothing on the Site constitutes architectural, engineering, structural, code, permitting, or legal advice, and nothing on the Site should be relied upon in designing, constructing, modifying, or purchasing any property.
Project images, renderings, plans, and descriptions are illustrative. They may show design intent rather than as-built conditions, may have been modified after publication, and may include work performed in collaboration with other firms, consultants, contractors, and photographers.
No Professional Relationship, and Which Firm You Engage
Nothing on the Site creates an architect-client relationship with either Firm. A professional relationship arises only through a written agreement signed by you and the specific Firm providing the services.
Because the Site presents the work of both Firms together, please note:
- Your agreement is with one Firm, not both. The written agreement will identify the contracting Firm by name. Only that Firm is responsible for performing the services and only that Firm is liable under that agreement, unless the agreement expressly states otherwise.
- Neither Firm is responsible for the acts, omissions, obligations, or professional services of the other, and nothing on the Site should be read as a guarantee, endorsement, or assumption of liability by one Firm for the other.
- Projects displayed on the Site may have been performed by either Firm, by both, or in collaboration with outside parties. Presentation of a project on the Site is not a representation that any particular Firm performed all of the work shown.
- Architectural services are provided only in jurisdictions where the relevant Firm and its licensed professionals are properly registered. Registration status differs between the Firms.
Use of the Site
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial, informational purposes.
You agree not to:
- Copy, reproduce, republish, distribute, sell, or create derivative works from any content on the Site without prior written permission from the Firm that owns it
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to the Site, its servers, or any related systems
- Introduce malware, or take any action that would damage, disable, overburden, or impair the Site
- Use automated systems, scrapers, or bots to extract content or data from the Site, except for standard search engine indexing
- Misrepresent your identity or affiliation with any person or entity
Intellectual Property
All content on the Site, including architectural designs, drawings, renderings, photographs, text, graphics, logos, and the selection and arrangement of that content, is owned by one or both Firms or by their licensors, and is protected by United States copyright, trademark, and other intellectual property laws, including the Architectural Works Copyright Protection Act.
Content on the Site may be owned by either Firm individually. Presentation of content on a shared Site does not transfer ownership between the Firms or grant either Firm rights in the other’s work.
“Stofft Cooney Architects,” “Stofft Architectural Group,” associated logos, and related marks are trademarks of their respective owners. Nothing on the Site grants you any license or right to use them.
Photographs on the Site may be licensed from third party photographers and may be subject to additional restrictions.
If you believe content on the Site infringes your copyright, contact us at the address below with a description of the work, its location on the Site, your contact information, and a statement of your good faith belief that the use is unauthorized.
Third Party Links
The Site contains links to third party websites, including mapping services, social media platforms, and other websites operated by or associated with the Firms. These links are provided for convenience only. We do not control, endorse, or assume responsibility for the content, accuracy, or practices of any third party site. Accessing them is at your own risk and subject to their terms.
Disclaimer of Warranties
The Site is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability.
While we make reasonable efforts to keep information current, we make no representation that the Site will be uninterrupted, error free, secure, or free of harmful components, or that any information on it is complete or accurate.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
Limitation of Liability
To the fullest extent permitted by law, neither Firm, nor their respective principals, employees, agents, or affiliates, will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort, strict liability, or any other theory, and whether or not we have been advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of both Firms combined, arising out of or relating to the Site, will not exceed one hundred dollars ($100).
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless both Firms and their respective principals, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.
Submissions
Any inquiry, message, or material you send through the Site is submitted on a non-confidential basis and may be received by either Firm, as described in our Privacy Policy. Please do not send confidential information, proprietary designs, or unsolicited creative material through the Site. If you send us feedback or suggestions, you grant both Firms a perpetual, royalty free license to use them without obligation to you.
Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts.
This clause governs disputes about the Site only. Disputes arising under a signed professional services agreement with either Firm are governed by the venue and dispute resolution terms of that agreement.
Changes to These Terms
We may modify these Terms at any time. Changes take effect when posted, and we will update the Effective Date above. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
Termination
We may suspend or terminate your access to the Site at any time, for any reason, without notice. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.
Severability and Waiver
If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full effect. Failure to enforce any provision is not a waiver of the right to do so later.
Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and the Firms regarding the Site. They do not modify, supersede, or affect any signed professional services agreement between you and either Firm.
